Organisational Model

The company can and must protect itself, first and foremost, by adopting an Organisational, Management and Control Model. The 231 Model is, in fact, the tool that enables the prevention of legal risks and sanctions, thereby safeguarding the company. If tailor-made, it becomes a strategic safeguard for corporate governance and business growth. Michelle Consulting does not work with standardised models but creates a system built upon the identity and structure of the organisation, its decision-making processes and its risk culture.

Supervisory Body

The 231 compliance framework is then completed with the appointment of a Supervisory Body (Organismo di Vigilanza), an independent and autonomous body tasked with overseeing the functioning, effectiveness and compliance with the Organisational Model adopted by the company. The main activities of the Supervisory Body include, by way of example: monitoring the effective application of the Model, verifying the adequacy of the Model in relation to the organisational structure and business activities, proposing updates to the Model in the event of regulatory or organisational changes, and collecting and analysing reports relating to possible breaches of the Model or the Code of Ethics, as well as providing periodic reporting to the relevant corporate bodies.
